Terms of Service

These terms govern your use of Biz-Catalyst, a suite of business applications provided by Sekules Consulting Ltd (trading as Biz-Catalyst), registered in England and Wales, company number 08827148, registered office 88 Grove Road, Gosport, PO12 4JN ("we", "us"). By creating an account or using the platform, you agree to these terms.

1. The service

Biz-Catalyst provides business software applications ("apps") on a subscription basis, accessed through platform.biz-catalyst.com and its app subdomains. The apps available to you depend on your subscription tier. The service is provided for business use.

2. Your account

You must provide accurate information when registering and keep it up to date. You're responsible for keeping your login credentials secure and for all activity under your account. You must be at least 18 to create an account. You may invite additional users to your account; you're responsible for their use of the service.

3. Subscriptions and billing

Subscriptions are billed monthly in advance via our payment provider, Stripe. Prices are as published on our pricing page and exclude VAT, which is added at the applicable rate. Your subscription tier determines how many apps you can use; you can switch which apps those are at any time.

We may change our prices with at least 30 days' notice. Price changes take effect at your next billing cycle after the notice period.

If a payment fails, we'll let you know and retry. Your access continues unaffected during an initial grace period; if payment remains outstanding, your account moves to read-only access and eventually to locked. Access is restored promptly when payment succeeds. You can always export your data, whatever your account status (see section 7).

4. Cancellation

You can cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period; you keep full access until then. See our Refund & Cancellation Policy for details.

5. Acceptable use

Don't use the service to store or distribute unlawful content, to infringe others' rights, to send spam, or to attempt to disrupt or gain unauthorised access to the platform or other tenants' data. Don't resell or white-label the service without a written agreement with us. We may suspend accounts that breach these terms; where practical we'll contact you first.

6. Your data

Your data belongs to you. We store and process it only to provide the service, as described in our Privacy Policy and, for business customers processing personal data through the platform, our Data Processing Agreement (available on request). We don't sell your data or use it for advertising.

7. Data export and account closure

You can request an export of your data at any time, including while your account is in read-only or locked status. If you close your account, we retain your data for 90 days to allow reactivation or export, after which it is deleted.

8. Availability

We work hard to keep the service available and will schedule maintenance outside busy hours where we can, but we don't guarantee uninterrupted availability and the service is provided "as is". We recommend keeping exports of business-critical data.

9. Intellectual property

The platform, its apps, design, and code are owned by Sekules Consulting Ltd. Your subscription gives you a right to use them, not ownership. Content you create or upload remains yours.

10. Third-party integrations

The platform can connect to third-party services (such as CRM platforms) using your own accounts with those providers. Those services are governed by their own terms, and we're not responsible for them.

11. Liability

Nothing in these terms excludes liability that cannot be excluded under English law, including for death or personal injury caused by negligence, or for fraud. Subject to that, we are not liable for indirect or consequential losses, loss of profits, or loss of data caused by circumstances outside our reasonable control; and our total liability arising from the service in any 12-month period is limited to the fees you paid us in that period.

12. Changes to these terms

We may update these terms from time to time. For material changes we'll give you at least 30 days' notice by email or in-platform notification. Continued use after the notice period means you accept the updated terms.

13. Governing law

These terms are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction over any dispute.
